These Terms and Conditions (“Terms”) govern access to and use of OneRx, an evidence-based clinical decision support platform operated by OriginBluy Private Limited (“OriginBluy”, “OneRx”, “we”, “us”, or “our”).
By accessing or using OneRx, you agree to be bound by these Terms and the Privacy Policy, which is incorporated herein by reference. If you do not agree, you must not use the Platform.
1. Definitions
“Platform”
The OneRx proprietary software platform, including web and mobile applications, interfaces, APIs, models, analytics engines, and related documentation.
“User” / “You”
A licensed healthcare professional, hospital, clinic, or authorized representative accessing the Platform.
“Content”
All data, information, inputs, clinical context, and materials uploaded or entered by Users.
“Output”
Clinical insights, guidance, summaries, or informational responses generated by the Platform.
2. Eligibility and Access
- You must be at least 18 years of age and legally capable of entering into a binding contract.
- You confirm that you are:
- A licensed healthcare professional, or
- An authorized representative of a healthcare organization.
- OneRx may suspend or restrict access if you breach these Terms, misuse the Platform, or violate applicable law.
3. Nature of the Platform (Critical Healthcare Disclaimer)
OneRx is an AI-assisted clinical decision support system (CDSS).
Important Medical Disclaimer
- OneRx does not provide medical advice
- OneRx does not diagnose, treat, or cure any condition
- OneRx does not generate or issue prescriptions
- OneRx does not replace independent medical judgment
All Outputs are supportive and informational only.
Final clinical decisions remain solely with the treating healthcare professional.
4. License and Permitted Use
Subject to these Terms, OneRx grants you a limited, non-exclusive, non-transferable, revocable license to use the Platform for internal clinical and operational purposes.
You shall not:
- Reverse engineer, decompile, or extract source code or models
- Use the Platform to develop competing products
- Rely on the Platform as the sole basis for clinical decisions
- Use the Platform for unlawful, unethical, or harmful purposes
- Misrepresent Outputs as definitive medical advice
5. User Responsibilities
- Ensuring clinical accuracy and validation of Outputs
- Obtaining lawful patient consent where required
- Complying with medical ethics, professional standards, and laws
- Ensuring appropriate use of Outputs in patient care
6. Data Ownership and Privacy
- You retain ownership of all Content you upload.
- By using OneRx, you grant us a limited right to process Content solely to provide and improve the Platform.
- Data handling is governed exclusively by the Privacy Policy.
Model Training
OneRx does not use identifiable or confidential customer or patient data to train publicly available models without explicit written agreement.
7. AI Outputs and Risk Allocation
- Outputs may be probabilistic, incomplete, or contain errors.
- OneRx makes no guarantees regarding accuracy or suitability.
- You assume full responsibility for how Outputs are interpreted and used.
OneRx shall not be liable for clinical outcomes, patient harm, or decisions made using the Platform.
8. Fees and Commercial Terms (If Applicable)
- Fees are governed by applicable proposals, order forms, or agreements.
- Payments are non-refundable unless expressly stated.
- Non-payment may result in suspension of access.
9. Availability and Service Levels
- The Platform is provided on a commercially reasonable efforts basis.
- OneRx does not guarantee uninterrupted availability.
- Scheduled maintenance and force majeure events are excluded from uptime commitments.
10. Intellectual Property
All intellectual property rights in the Platform, including software, algorithms, models, and designs, belong exclusively to OriginBluy Private Limited.
Any feedback you provide may be used without restriction or compensation.
11. Confidentiality
Each party shall protect the other’s confidential information using reasonable care and shall not disclose it except as permitted by law or agreement.
12. Termination
You may terminate use by discontinuing access.
OneRx may suspend or terminate access if:
- These Terms are breached
- The Platform is misused
- Applicable laws are violated
Upon termination:
- Access ceases immediately
- Data handling continues as per the Privacy Policy and legal requirements
13. Indemnification
You agree to indemnify and hold harmless OriginBluy and its affiliates from claims arising from:
- Your use or misuse of the Platform
- Clinical decisions made using Outputs
- Violation of laws, professional duties, or patient rights
14. Disclaimers
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE”.
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- CLINICAL ACCURACY OR OUTCOMES
15. Limitation of Liability
- OneRx’s total liability shall not exceed fees paid in the preceding six (6) months
- OneRx shall not be liable for indirect, incidental, consequential, or punitive damages
- OneRx shall not be liable for patient harm, clinical outcomes, or medical decisions
16. Governing Law and Jurisdiction
These Terms are governed by the laws of India.
Courts at New Delhi, India shall have exclusive jurisdiction.
17. Changes to Terms
We may update these Terms periodically. Continued use constitutes acceptance of revised Terms.
