Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the services, software, tools, APIs, and websites provided by OneRx.ai ("OneRx", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Definitions

Platform refers to OneRx.ai's proprietary AI-powered platform, including all interfaces, APIs, analytics tools, knowledge engines, models, and documentation.

Customer or You refers to any company, user, or representative using the platform under these terms.

Content means all data, documents, queries, user inputs, and other materials uploaded or submitted to the platform.

Output refers to insights, responses, summaries, or analytics generated by the platform in response to user queries.

2. Eligibility & Access

• You must be at least 18 years of age and legally capable of entering into a binding contract.
• OneRx reserves the right to refuse service, suspend accounts, or restrict access to any user for breach of these Terms or misuse of the platform.

3. License and Usage Rights

Subject to these Terms, OneRx grants you a limited, non-exclusive, non-transferable, revocable license to use the platform for internal business purposes.

You may not:

• Reverse engineer, decompile, or attempt to extract the source code or underlying algorithms.
• Use the platform to develop competing products or services.
• Sell, sublicense, or commercially exploit any part of the platform or its outputs.
• Use the platform for illegal, abusive, or fraudulent activities.

4. Data Ownership and Privacy

• Customer Data: You retain ownership of all data and content you upload. By uploading, you grant us a limited license to process, analyze, and use this data to provide and improve the platform.
• Model Training: We do not use your confidential organizational data to train publicly available models unless explicitly agreed in writing.
• Security: We implement industry-grade security protocols to protect your data but cannot guarantee absolute protection from breaches.

5. AI Output and Responsibility

• OneRx strives for accuracy but makes no guarantees about the correctness or reliability of AI-generated outputs.
• The outputs are provided “as-is” and are meant to support — not replace — human judgment or decision-making.
• You are solely responsible for how you interpret and act on outputs provided by the platform.

6. Fees and Billing

• Subscription and usage fees will be communicated via proposal, order form, or the platform itself.
• All payments are non-refundable unless stated otherwise.
• Late payments may result in service suspension and interest charges.

7. Service Availability and Uptime

• We aim to maintain 99% platform uptime, excluding scheduled maintenance and force majeure events.
• We do not guarantee uninterrupted service and are not liable for downtime, data loss, or delays.

8. Intellectual Property

• All rights, titles, and interests in the platform, including software, algorithms, UI/UX designs, and know-how, belong exclusively to OneRx.ai.
• Any feedback, suggestions, or improvements you offer may be used by us freely and without compensation.

9. Confidentiality

• Both parties agree to protect each other's confidential information with the same degree of care used to protect their own.
• You must not disclose platform architecture, features, or other proprietary information to third parties without written consent.

10. Termination

• You may terminate your account at any time by notifying us in writing.
• We may suspend or terminate your access if:
  • You breach these Terms.
  • You misuse the platform or violate applicable laws.
• Upon termination, your access to the platform will cease, and we may delete or anonymize your data unless required to retain it legally.

11. Indemnification

You agree to defend, indemnify, and hold harmless OneRx.ai and its affiliates from any claims, liabilities, damages, losses, and expenses arising from:

• Your use of the platform;
• Your violation of these Terms;
• Your violation of any applicable laws or third-party rights.

12. Disclaimers

The platform is provided on an "as-is" and "as-available" basis without warranties of any kind.

We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

• To the maximum extent permitted by law, OneRx.ai’s total liability in any matter shall not exceed the amount paid by you in the preceding 6 months.
• We are not liable for any indirect, incidental, consequential, or punitive damages.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of the courts in Gurgaon, Haryana.

15. Changes to Terms

• We may modify these Terms from time to time. Continued use of the platform constitutes your acceptance of the revised Terms.
• We will notify you via email or platform alerts in case of significant changes.
